Seller herewith represents and warrants to the Buyer as of the date of this Offer, the date of Acceptance and the date of each delivery to the Purchaser as well as to the final destination that subject material is free of any pledge, lien or encumbrance as well as free from any defects in quality or workmanship and undertakes, upon demand of the Purchaser, to certify these representations and warranties via separate document.
