The archeological city of sumhuram
It is located between Taka and Mirbat states, about 40 km from Salalah, known as Khor Rori, dating back to the third millennium BC. It contains many ancient manuscripts, coins and stone carvings, adding to an ancient temple. The tractor of frankincense which sent to Prophet Solomon as a gift by Belkis, The Sheba Queen, is said to be loaded from the port of sumhuram.
Almghasil Beach
It is in the west of Salalah, on the way of Ressout, is considered one of the most beautiful ten beaches in the world, Its site is very nice and special, and it is marked by natural water frequencies resulting from the movement of the waves hitting the rocks which make the place a beautiful region. It is Very suitable for families and cruises, as well.
Ain Razat
This Ain is considered one of the most important sources of water in Dhofar. In addition, it is surrounded by green nature and many natural caves in the limestone hills along the north side of this Ain. There we can found prepared tracks and courses that are easy to walk and climb to its Summit, as it is overlooking stunning panoramic scenes.
Maqam Nabi Ayoub
Prophet Ayoub Maqam “abode” is located on Mount Eteen in Salalah, overlooks the stunning landscapes. Many tales are told about this abode, one says that he was buried in Mount Eteen, and the abode is his real grave. It is preferred to be visited in autumn to enjoy the awesome landscape.
Almernif Cave
Almernif Cave is located in Almghasil Beach area and about 40 km from Salalah. It overlooks the Arabian Sea, and is marked by the amazing natural phenomenon of the fizzy water; in addition, it has special facilities for the visitors, walls of protection and special tracks for the cars.
The Frankincense Trail
Charming paths full of amazing effects overlook the sea. One of the most beautiful places which are suitable for walking trips with the family. It is also marked by the spread of frankincense.
The Museum of Frankincense Land
It is located in the district of Governmental circles next to the Office of the Secretary of State and the Governor of Dhofar, inside the cultural center. It is an archaeological museum built in the Park of “Bolaid”, and is divided into two halls; the first hall is the marine Hall, which is also divided into seven sections present marine civilization ad maritime trade of Oman and boat building.
The second Hall is the Hall of history, which is divided into six sections, preset the history, topography and civilization of Oman. It includes ancient inscriptions and manuscripts, and a copy of the letter of the Prophet Mohamed to Oman two kings Abd and Jifr, in addition to the coins, and a wide variety of Chinese and Austrian and Oman currencies.
Darbat Valley
It is in the east of Salalah, and is considered one of the largest valleys in Salalah; where there is abundant of waterfalls thanks to the affluent winter rains, which adds to the picturesque view so much beauty.

مدينة سمهرم الأثرية
تقع بين ولايتي طاقة ومرباط، تبعد حوالي ٤٠ كم عن مدينة صلالة، وتعرف بخور روري، يعود تاريخها إلى الألف الثالث قبل الميلاد. تحوي العديد من المخطوطات الأثرية، والقطع النقدية والنقوش الحجرية، إضافة إلى معبد قديم. ويقال أنّ جرار اللبان التي أرسلتها بلقيس ملكة سبأ كهدية إلى النبي سليمان تم تحميلها من ميناء سمهرم.
شاطئ المغسيل
يقع غربي مدينة صلالة، على طريق ريسوت,و يعتبر من أجمل ١٠ شواطئ على مستوى العالم، موقعه جميل جدا ومميز، يمتاز بترددات الماء الطبيعية الناتجة عن حركة الأمواج واصطدامها بالصخور التي تجعل من المكان أجمل المنطقة. مناسب جدا للعائلات وللرحلات البحرية.
عين رزات
تعتبر عين رزات أهم مصدر للمياه في محافظة ظفار، تحيطها الطبيعة الخضراء والعديد من الكهوف الطبيعية في تلال الحجر الجيري على امتداد الجانب الشماليي للعين. توجد مسارات مخصصة وسهلة للمشي والصعود إلى قمتها، حيث تطل على مشاهد بانورامية خلابة.
مقام النبي أيوب
يقع مقام النبي أيوب على جبل إتين في صلالة، يطل على مناظر طبيعية خلابة. تعددت الروايات حول هذا المقام، إحداها تقول أنه دفن في جبل إتين، وأنّ المقام عبارة عن قبره الحقيقي. تُفضل زيارته في فصل الخريف للتمتع بالمناظر الطبيعية.
كهف المرنيف
يقع كهف المرنيف في منطقة شاطئ المغسيل وعلى بعد 40 كيلو متر من صلالة ، ويطل على بحر العرب. يتميز بظاهرة فوران الماء الطبيعية المدهشة، وتتوفر به المرافق الخاصة للزائرين، وأسوار الحماية وممرات خاصة للمسارات.
درب اللبان
دروب ساحرة، مليئة بالآثار المذهلة التي تطل على البحر. من أجمل الأماكن المناسبة لرحلات السير على الأقدام مع العائلة. وتتميز أيضًا بانتشار اللبان.
متحف أرض اللبان
حي الدوائر الحكومية بجوار مكتب وزير الدولة ومحافظ ظفار، داخل المركز الثقافي، وهو متحف أثري أقيم في منتزه البليد، يقسم إلى قاعتين؛ القاعة الأولى هي القاعة البحرية، تقسم إلى سبعة أقسام تعرض الحضارة البحرية العمانية والتّجارة البحرية وبناء القوارب. والقاعة الثانية هي قاعة التاريخ، تقسم إلى ستة أقسام تعرض تاريخ وتضاريس وحضارة عمان. تضم نقوشًا أثرية ومخطوطات، كما تعرض نسخة لرسالة النبي محمد إلى ملكي عمان عبد وجيفر، إضافة إلى المسكوكات، وتشكيلة واسعة من العملات الصينية والنمساوية والعمانية.
وادي دربات
يقع شرق مدينة صلالة ، و يعتبر من أكبر الوديان في صلالة، تكثر فيه الشلالات لوفرة الأمطار في فصل الشتاء، مما يضيف إلى منظره الجميل الخلاب الكثير من الجمال.

Source text - English By the grace of Almighty ___ we on behalf of the small and humble village of Patrame have plans to reconstruct the Muhiyuddeen Juma Masjid which is over 115 years and have additional facilities such as, separate place for making ablution, renovating the toilets and construct a parapet wall round the mosque.
Besides the above, there is a lot of poverty in this village with many single women bringing up families.
Many of the children are not been educated as their fathers have left them and the mothers are raising them single handed.
Most women are divorced or widowed. These women earn an income by cultivating and their husbands work at construction fields. It is a pity to see this village going through a lot of agony and suffering.
The Imam of the mosque help some of the families by paying them a small amount of IRS.250 to IRS.1000.00 per family depending on their situation.
We hope some kind and generous people could come forward and help this village people to live a better life and provide the upcoming children the support and education.
Kindly donate generously for the renovation and expenses of the families and Masjid and seek Allah’s blessings.

وبالإضافة إلى ما سبق، هناك الكثير من الفقر في هذه القرية مع العديد من النساء غير المتزوجات والمعيلات.وكثير من الأطفال الذين لم يتموا تعليمهم حيث تركوهم آباؤهم وتقوم الأمهات بتربيتهن وحدهن بدون معين. معظم النساء المطلقات أو الأرامل يكسبن دخلاً من الزراعة ويعمل أزواجهن في ميادين البناء. أنه لأمر مؤسف أن نرى هذه القرية تتحمل الكثير من العذاب والمعاناة.
يقوم إمام المسجد بمساعدة بعض الأسر حيث يدفع لهم مبلغ صغير من IRS.250 إلى IRS.1000.00 لكل أسرة حسب حالاتهم. ونحن نأمل في إقبال بعض الطيبين الكرماء على قريتنا وقيامهم بمساعدة أهل هذه القرية في توفير العيش الكريم ، وإمداد النشء بالدعم والتعليم.

3- بتاريخ 28/12/2016 قام الوكيل القانوني للمتنازع ضدهما الأولى والثالث بتزويد الخبرة عن طريق البريد الإلكتروني بمذكرة تعقيبية خلال الجل رد على طلبات الخبرة.
4- بتاريخ 29/01/2017 قام الوكيل القانوني للمتنازع ضدهما الأولى والثالث بتزويد الخبرة عن طريق البريد الأبكتروني بمذكرة تعقيبية خلال الأجل ردا على ما ورد بمذكرة المتنازع المقدمة أمام اللجنة في 11/01/2017
خامسا وقائع الدعوى:
طبقا لما هو ثابت بلائحة النزاع المقدمة أمام مركز تسوية المنازعات الودية فإنه بموجب عقد التأسيس والنظام الأساسي المؤرخ في 19/2/2006 اتفق كل من المتنازع(......) والمتنازع ضده الثاني(......) على تأسيس شركة منطقة حرة بإسم ......العقارية يقع مركزها الرئيسي في المنطقة الحرة وهي الشركة المتنازع ضدها الأولى وقد ظل المتنازع على دراية بالمشروعات التي تباشرها الشركة حتى نهاية شهر مايو 2008 بعدها حجب المتنازع ضده الثاني والثالث عن المتنازع أية معلومات تخص الإستثمارات الخاصة بالشركة وموقفها المالي والمبالغ المستحقة له من الأرباح السنوية بقدر حصته وحيث أنه يهم المتنازع الوقوف على الموقف المالي للشركة خاصة أن لها أصول ومشروعات إستثمارية مازالت قائمة وتدار بمعرفة المتنازع ضدهما الثاني والثالث لذا قام المتنازع بقيد النزاع الماثل طالبا في ختام صحيفته بندب لجنة ثلاثية لتنفيذ المهمة الواردة بالقرار الصادر عن مركز تسوية المنازعات الودية بتاريخ 27/09/2016.
سادسا: تحقيق مهمة لجنة الخبراء ونتائج أعمال الخبرة المحاسبية:
بعد البحث والدراسة والإطلاع وفي حدود البيانات والمستندات المقدمة في إجتماعات الخبرة المذكورة أعلاه، وبناء على تفاصيل المهمة التي كلفنا بها مركز تسوية المنازعات الودية وفي حدود ما قدم إلينا من مستندات وما يحتويه ملف الدعوى وبعد الإطلاع، ووفقا للأصول والأعراف المهنية المتبعة في مثل هذه الحالات فقد توصلنا إلى النتائج التالية:
سادسا/1-ماهية العلاقة بين الخصوم في شأن موضوع النزاع وأخصها العلاقة بشأن شركة ......العقارية- منطقة حرة- وذلك بعد الإطلاع على عقد التأسيس، وأي ملاحق أو تعديلات لها.
1- تأسست شركة ......العقارية (ش.م.ح) كشركة ذات مسئولية محدودة تابعة لهيئة المنطقة الحرة لمطار الشارقة الدولي بموجب عقد تأسيس الشركة المؤرخ في 19/02/2006 برأسمال قدرها 150.000 درهم مقسمة على 100 سهم وقيمة كل سهم 1.500 درهم وتوزع حصص رأسمال الشركة بنسبة 50% على كل من السيد/ ......(المتنازع) والسيد/......(المتنازع ضده الثاني) وطبقا للتفصيل التالي: مستند رقم(5)

2- بتاريخ 28/02/2006 صدرت رخصة الخدمات رقم 3725 لصالح شركة/......العقارية (ش.م.ح) من هيئة المنطقة الحرة لمطار الشارقة الدولي والتي تعمل بمجال الإستثمار في المشاريع العقارية والإدارية وأن المدير المسئول هو السيد/ فيدريكو تاوبير(المتنازع ضده الثالث) مستند رقم(6)
3- بتاريخ 11/09/2007 قام كل من المتنازع/......والمتنازع ضده الثاني السيد/...... بالتوقيع على الإتفاقية الخاصة ببيع وشراء حصص وقطع أوارضي وتنازل عن وتحويل مشاريع الموقعة والتي سميت بإتفاقية 2007 وهي إتفاقية تنظم العلاقة بين الطرفين فيما يتعلق بمجموعة ......وكافة الشركات والكيانات والمشروعات التي تشملها بما في ذلك المتنازع ضدها الأولى/ شركة ......العقارية ش.م.ح وقد نصت على نقل الشركات وقطع الأراضي والمشروعات الخاصة بمجموعة ......والمحددة في الجداول والقوائم المرفقة بإتفاقية 2007 من قبل المالك الحالي المسجل(سواء كان ذلك من خلال ......أو السيد ...... أو أي طرف آخر(شركة أو شخص) من التابيعين أو الخاضعين لإدارتهم وتوجيهاتهم) لصالح مجموعة ......بالإضافة إلى نقل 25% من حصص كيانات مجموعة ......المملوكة من ......إلى السيد ...... مقابل ثمن إجمالي قدره 600مليون درهم.

رأي لجنة الخبراء المتندبة:
1- طبقا لما هو ثابت بمستندات الدعوى فإن العلاقة بين كل من المتنازع/......والمتنازع ضده الثاني/...... والتي تمثلت في كونها علاقة شراكة في شركة ......العقارية(ش.م.ح) (المتنازع ضدها الأولى) بنسبة 50% لكل منهما في حصص رأسمال الشركة وكذا توزيع الأرباح والخسائر وبموجب الشروط والأحكام الواردة بعقد التأسيس الشركة المؤرخ في 19/02/2006 كما تبين أن المتنازع ضده الثالث/فيدريكو تاوبير هو مدير المتنازع ضدها الأولى الثابت برخصة الخدمات رقم3725 العائدة للشركة
2- بتاريخ 11/09/2007 قام كل من المتنازع/ ......والمتنازع ضده الثاني السيد/ ...... بالتوقيع على الإتفاقية الخاصة ببيع وشراء حصص وقطع أراضي وتنازل عن وتحويل مشاريع الموقعة والتي سميت بإتفاقية 2007 وقد نصت على نقل كافة الشركات وقطع الأراضي والمشروعات الخاصة بمجموعة ......لصالح مجموعة ......القابضة للإستثمار بالإضافة إلى نقل 25% من حصص كيانات مجموعة ......المملوكة من ......إلى السيد ...... مقابل ثمن إجمالي قدره600 مليون درهم.
