I'm guessing "conditions precedent", but wondering whether German law just may have totally different categories of conditions. For American/English law, I found:
(1) express conditions
(2) constructive or implied conditions

and under these, 3 subcategories:
(a) conditions precedent
(b) conditions subsequent
(c) concurrent conditions

Strangely enough, I did locate many references on GOOGLE to "delaying conditions"--but most were from India, not the United States (different legal systems? I would have thought the English system left its mark there, as well...)

Which I translated, variously, as:
The purchase price, including interest, is payable 4 business days after entry into force/onset/whatever of the CONDITIONS PRECEDENT/DEFERRED CONDITIONS/DELAYED CONDITIONS in accordance with Para. 1.

Der Veräußerer tritt die verkauften Aktien mit steuerlicher u. wirtschaftlicher Wirkung zum Stichtag hiermit AUFSCHIEBEND BEDINGT durch den Eingang des vollständigen Kauspreises einsch. Zinsen auf dem genannten Konto des Veräußerers und den Eintritt der genannten Bedingungen an die dies hiermit annehmende Erwerberin ab.

Which I translate as:
The Transferor assigns the shares to the Purchaser, effective for tax and economic purposes on the Effective Date, yet DEFERRED CONDITIONALLY upon deposit of the full purchase price, including interest, in the Transferor's designated bank account and the entry into force of the conditions mentioned.

Here, it seems more difficult to work "conditions precedent" into the sentence.

a transaction which is entered into subject to a condition precedent (alternatively suspensive condition) becomes effective only if and when the condition occurs.

In the second sentence I would translate it like this:
The seller hereby assigns to the purchaser and the purchaser hereby accepts the sold shares, with fiscal and commercial effect as from the effective date, on the SUSPENSIVE CONDITION that the purchase price including interest will be paid in full into the seller\'s designated bank account and that the above mentioned conditions apply (or have occurred).
