3. The Contractor undertakes that during the term of this Agreement, he/she shall not without the prior written consent of the Company directly or indirectly whether alone or in conjunction with others:

a) own, manage, operate, join or control a Competitor or have any equity or other financial interest (e.g. by way of holding shares in a company, by way of participation in a partnership or by way of lending money to or guaranteeing the obligations of) or have any personal participation (e.g. as a member of a governing body) in a Competitor, provided that this undertaking does not apply to the acquisition by the Contractor of publicly traded shares not exceeding 5 % in one Competitor;
