Source text - English Force Majeure Events. Supply or performance by the Parties under this Agreement may be suspended (except for moneys then due and owing) without liability to the extent any event beyond the reasonable control of Jinhe or Alpharma described below (herein called a "Force Majeure Event") prevents the provision, supply, consumption, or use of Product to or by the Parties, as the case may be, or the performance by the Parties of the terms of this Agreement:Act of God, war, riot, invasion, act of terrorism, fire, explosion, accident, flood, sabotage; or nationalization of Jinhe抯 business or governmental action which prevents performance of this Agreement or sale of Product; or national defence requirements, or other governmental action, including laws or regulations that directly or indirectly affect the performance of this Agreement or the use, distribution, or sale of Product; or labor trouble, strike, lock-out, or injunction (whether or not such labor event is within the reasonable control of such Party and provided that neither Party shall be required to settle a labor dispute against its best judgment) that impacts Jinhe or Alpharma, or any Third Party upon whom either Party relies for performance of this Agreement; or curtailment of service by any utility or other energy supplier necessary to operate the CTC Facility, or fuel or Raw Material shortages.

Source text - Chinese 5． 项目终止，双方将对项目进行终止审计。项目在合同期满前终止的，甲方有责任将乙方已投入未使用的项目经费归还乙方并协助乙方收回硬件设备。项目因合同期满终止，甲方可继续使用硬件设备进行研究实验，但不可将这些设备用于任何形式的商业行为，否则乙方有权收回这些设备，并追索经济损失。
Translation - English 5. When the Project terminates, both Parties shall have the Project audited. Should the Project terminate before the Term of the Contract runs, Party A shall return the unused part of the Project Fund to Party B and assist Party B in reclaiming the Equipments. Should the Project terminate when the Contract expires, Party A may continue to use the Equipments for research, but may not use them in any form of business transaction, or Party B is entitled to reclaim the Equipments and damages.

Source text - German Der Antrag der Beklagten auf Klageabweisung ist auch nach deren weiteren Ausführung nicht begründet. Die tragende Argumente der Beklagten sind ihrem Schriftsatz vom 13. Juni 2007 aufgrund dessen Länge, seiner fehlenden Struktur, nicht nachvollziehbaren Berechnungen, unverständliche Anlagen und teilweisen Widersprüche sowie einer Reihe von Nebensächlichkeiten nur schwer zu entnehmen. Der gesamte Schriftsatz entspricht nicht den Anforderungen an einen ordentlichen prozessualen Vortrag und ist daher schon aus diesem Grund als unsubstantiiert bzw. unbeachtlich zu verwerfen. Auch aus prozessualen Gründen ist der Vortrag der Beklagten gemäss den Vorschriften §§ 296 I, II ZPO als verspätetet zurückzuweisen (mehr dazu unten unter 11. - Verspätung). Dennoch wird im Folgenden versucht, zu den wesentlichen Argumente der Klägerin, soweit sich diese aus dem Schriftsatz erschließen, Stellung zu nehmen. Durch eine systematische Bezugnahme soll dabei ein Chaos wie im Schriftsatz der Beklagten verhindert werden, soweit dadurch zu einzelnen von der Beklagten vorgetragen Behauptungen nicht konkret Stellung genommen wird, werden diese hiermit pauschal bestritten.
Translation - Chinese 被告在上述答辩中陈述的理由仍然不能支持其要求驳回起诉的申请。被告2007年6月13日的答辩累赘冗长、结构混乱、所做的计算无凭无据、所提出的证据无法理解且时常自相矛盾，其中还充斥着大量无关紧要的琐事，根本无法从中找到被告方支持其请求的关键理由何在。整个答辩完全不符合一份清晰简洁的诉讼文书的要求，仅此就足以认为这份诉讼文书是没有根据和无关紧要，因而不应予以采纳的。另外，从诉讼法的角度来说，根据《民事诉讼法典》第296条第1、2款规定，被告的上述答辩也已经超过法定期限，应予驳回（详见下文第11项-超期）。尽管如此，下文仍将尝试对被告上述答辩中一些看来是其所依据的主要理由作出回应。通过对被告6月13日答辩的系统整理和回应，我方希望能够对被告方答辩造成的混乱状态有所澄清。至于在这种情况下可能仍然没有涉及的被告方答辩中的个别观点，我方一概予以否认。
